UniHop, LLC – Terms of Service

These Terms of Service (“Terms”) govern access to and use of the UniHop website, software platform, dashboards, APIs, tracking tools, and managed delivery coordination services (collectively, the “Services”) provided by UniHop, LLC (“UniHop,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Who These Terms Apply To

These Terms apply to all users of the Services, including:

  • Business customers (B2B)
  • Individual consumers (B2C)
  • API or integration users
  • Anyone accessing UniHop’s website, dashboard, tracking links, or related tools

Delivery drivers and couriers are not parties to this agreement.

2. What UniHop Does (and Does Not Do)

2.1 What UniHop Does

UniHop provides a managed delivery coordination and monitoring service, which may include:

  • Software tools for submitting and managing delivery requests
  • Order intake via web, dashboard, forms, or APIs
  • Delivery tracking and notifications
  • A human dispatch and monitoring team
  • Coordination of deliveries through third-party delivery networks
  • Reasonable intervention attempts when delivery issues arise
  • Delivery retries, rescues, reassignments, or returns, at UniHop’s discretion

2.2 What UniHop Does Not Do

UniHop is not:

  • A courier company
  • A delivery marketplace
  • A fleet owner
  • A driver employer
  • A carrier, broker, or freight forwarder
  • An insurer or guarantor of delivery outcomes

UniHop does not employ, supervise, or control delivery drivers, or the manner in which deliveries are performed.

3. Independent Third-Party Couriers (Critical Notice)

All deliveries are fulfilled by independent third-party couriers made available through external delivery networks.

Accordingly:

  • Drivers are not UniHop employees, agents, or contractors
  • UniHop does not control driver conduct, routes, vehicles, timing, or performance
  • Any references to drivers are descriptive only and do not imply control
  • Driver availability, acceptance, and behavior are outside UniHop’s control

You acknowledge that delivery performance ultimately depends on independent third parties.

4. Account Registration & Use

You may be required to create an account to access certain Services.

You agree to:

  • Provide accurate and complete information
  • Maintain the security of your credentials
  • Be responsible for all activity under your account
  • Ensure all delivery details submitted are correct and current

UniHop may suspend or terminate access for misuse, abuse, non-payment, or violations of these Terms.

4.1 Platform Misuse & Automation

You may not use any automated system, including robots, crawlers, scrapers, bots, scripts, data mining tools, or similar technologies to access, monitor, copy, extract, or interact with the Services without UniHop’s prior written consent.

You may not attempt to reverse engineer, decompile, replicate pricing logic, reproduce workflows, or otherwise derive underlying structure, source code, or operational methodology of the Services.

5. Delivery Timing & Service Expectations

  • All delivery times and windows are estimates only, not guarantees
  • No service-level agreement (SLA) or guaranteed delivery time is offered
  • Late delivery does not automatically constitute service failure
  • Delivery windows vary by distance, delivery type, and conditions
  • UniHop may adjust fulfillment strategies to attempt successful completion

Traffic, weather, access issues, merchant delays, or third-party failures may impact timing.

6. Order Issues, Failures & Recovery

Delivery issues may include, without limitation:

  • Failed pickup or dropoff
  • Recipient unavailability
  • Merchant refusal or preparation errors
  • Address or contact inaccuracies
  • Driver reassignment or cancellation
  • Duplicate or erroneous orders

UniHop retains sole discretion to determine whether to:

  • Retry or reassign a delivery
  • Attempt rescue or recovery
  • Return items to pickup
  • Dispose of items (if selected)
  • Close the order

6.1 Merchant Packing & Item Accuracy

UniHop does not pack, prepare, or verify the contents of any delivery. Merchants and customers are solely responsible for:

  • Accurate order preparation
  • Ensuring all items are provided to the courier at pickup
  • Proper packaging and sealing of items
  • Correct labeling and documentation

Couriers are not required or authorized to open sealed packaging or audit itemized receipts.

UniHop may, at its discretion, request pickup or delivery photos to assist with issue review, but such documentation does not constitute inspection, verification, or acceptance of responsibility for order contents.

Claims involving missing or incorrect items may be reviewed based on available documentation, but UniHop does not guarantee recovery or reimbursement for packing or preparation errors.

7. Customer Representations & Prohibited Items

You represent and warrant that all delivery requests:

- Contain lawful items only - Comply with all applicable laws and regulations - Do not include prohibited items, including but not limited to: - Hazardous or illegal materials - Firearms, ammunition, or explosives - Controlled substances - Alcohol, cannabis, or tobacco unless explicitly approved in writing - Live animals - Undisclosed perishables requiring refrigeration - High-value items without appropriate service selection

You assume all liability for undisclosed or prohibited contents.

8. Fees, Pricing, Payment & Adjustments

- Pricing is dynamic and usage-based - Fees may vary based on distance, service level, timing, vehicle needs, and fulfillment conditions - Additional charges may include: - Driver compensation adjustments - Wait time - Reassignments or rescues - Returns or re-deliveries - Cancellations

Displayed estimates are non-binding. Final charges are based on actual fulfillment costs.

UniHop may modify pricing prospectively. Updated pricing will apply to future delivery requests.

8.1 Payment Terms

Unless otherwise agreed in a signed order form or written agreement, invoices are due and payable upon receipt. Any amount not paid within seven (7) days of the invoice date is past due. UniHop's continued provision of the Services is expressly conditioned on your account being current, and UniHop may suspend or decline new delivery requests, without liability, while any amount is past due.

8.2 Late Charges

Past-due amounts accrue a service charge of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is less, from the due date until paid in full.

8.3 Stored Payment Methods

By providing a payment method, you (a) authorize UniHop and its payment processors to store that payment method and to charge it, on-session or off-session, for all fees and other amounts due under these Terms as they become due, including past-due balances and amounts owed under Section 9; and (b) represent and warrant that you are authorized to use that payment method and that its use does not violate any agreement with, or right of, any third party. You will promptly update your payment information if it changes. You remain responsible for all amounts due even if a charge to a stored payment method fails or is reversed.

8.4 Collection Costs

If UniHop refers a past-due balance for collection or brings an action to collect it, you agree to pay, to the extent permitted by applicable law and in addition to the balance and accrued late charges, UniHop's reasonable costs of collection, including reasonable attorneys' fees, court costs, arbitration fees, and collection-agency commissions.

8.5 Setoff

UniHop may apply any credits, refunds, prepaid balances, or other amounts it holds for your benefit against any past-due amount you owe, in the order UniHop determines.

8.6 Credit Limits & Suspension

UniHop may establish, modify, or withdraw a credit limit for your account at any time in its discretion. UniHop may suspend dispatch of new deliveries, without notice or liability, when your outstanding balance reaches your credit limit or your account is past due. Suspension does not relieve you of the obligation to pay amounts already incurred.

9. Cancellations & Refunds

Cancellations, refunds, credits, and order value claims are governed by UniHop’s Refund & Cancellation Policy, which is incorporated into these Terms and controls on those subjects.

In summary, and subject in all cases to that Policy:

  • Cancellation eligibility depends on delivery status, and cancellation or service fees may apply
  • Refunds, credits, and partial adjustments are granted solely at UniHop’s discretion following review
  • UniHop’s decision on a refund, credit, or claim is final

Nothing in the Refund & Cancellation Policy increases UniHop’s liability beyond the limits set in Section 13.

You agree not to initiate chargebacks or payment disputes for valid charges related to completed delivery services. If a chargeback is initiated in bad faith, UniHop reserves the right to suspend or terminate your account and recover associated costs.

10. Software Platform Terms

The Services include access to UniHop’s software platform, which is provided as is and as available.

UniHop does not guarantee:

  • System uptime or availability
  • Error-free operation
  • Continuous access or performance

UniHop may suspend, modify, or discontinue any part of the platform at any time.

API access, if provided, may be rate-limited, modified, or revoked.

11. Communications & Data Use

By using the Services, you consent to receive operational communications related to deliveries, including emails, SMS messages, and notifications.

Tracking links and notifications are system-generated and not customizable without explicit permission from UniHop.

Use of personal data is governed by UniHop’s Privacy Policy.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

UNIHOP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

UNIHOP DOES NOT WARRANT DELIVERY SUCCESS, DRIVER PERFORMANCE, OR ITEM CONDITION.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • UNIHOP SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES
  • UNIHOP SHALL NOT BE LIABLE FOR ACTS OR OMISSIONS OF THIRD-PARTY COURIERS

UNIHOP’S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF:

(a) THE TOTAL FEES PAID TO UNIHOP BY YOU IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(b) $200.

Some jurisdictions do not allow certain limitations; applicable rights may vary.

14. Indemnification

You agree to indemnify and hold harmless UniHop from any claims arising out of:

  • Misrepresentation of delivery contents
  • Prohibited or unlawful items
  • Incorrect delivery information
  • Recipient or merchant disputes
  • Regulatory violations caused by your actions

15. Force Majeure

UniHop shall not be liable for any failure or delay resulting from causes beyond its reasonable control, including acts of God, natural disasters, weather events, labor disputes, internet outages, courier service interruptions, governmental actions, or system failures.

16. Arbitration & Class Action Waiver

PLEASE READ CAREFULLY.

Any dispute arising from these Terms or the Services shall be resolved by binding arbitration, on an individual basis.

You waive any right to participate in a class action or representative proceeding.

Arbitration shall be conducted under the rules of the American Arbitration Association (AAA) or a similar neutral body, in Wyoming, unless otherwise required by law.

**Exceptions.** Notwithstanding the foregoing: (a) UniHop may bring an action in any court of competent jurisdiction to collect unpaid fees or other amounts due under these Terms, including accrued late charges and collection costs under Section 8; and (b) either party may bring an individual claim in small claims court in a jurisdiction where that court has authority to hear it, so long as the claim remains in that court. For any collection action brought by UniHop, you consent to the personal jurisdiction of, and venue in, the state and federal courts located in Wyoming, and UniHop may alternatively bring the action in the jurisdiction where you reside or maintain your principal place of business. Seeking any of the relief described in this paragraph does not waive either party's right to compel arbitration of any other dispute.

17. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

18. Relationship to Other Policies

These Terms incorporate by reference:

Acceptable use of the Services — including platform misuse, automation, prohibited items, and API access — is governed by Sections 4.1, 7, and 10 of these Terms. If UniHop publishes separate acceptable use or API terms in the future, those documents will be incorporated by reference and identified in this Section.

19. Miscellaneous

19.1 Changes to These Terms

UniHop may update these Terms at any time. Updated Terms will be effective upon posting to the website or platform. Continued use of the Services after updates constitutes acceptance of the revised Terms.

19.2 Entire Agreement

These Terms, together with any policies incorporated by reference, constitute the entire agreement between you and UniHop regarding the Services and supersede all prior or contemporaneous communications, understandings, or agreements.

19.3 Assignment

You may not assign, transfer, or delegate these Terms or your account without UniHop’s prior written consent. UniHop may assign these Terms without restriction, including in connection with a merger, acquisition, restructuring, or sale of assets.

19.4 No Waiver

UniHop’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any future enforcement of it.

19.5 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19.6 Survival

The following provisions shall survive termination or expiration of these Terms: Fees, Disclaimers, Limitation of Liability, Indemnification, Arbitration, Governing Law, and any provisions that by their nature should survive.
