UniHop's Terms of Service

Welcome to UniHop, online service of UniHop LLC. (“Company,” “we,” or “us”). This page explains the terms by which you may use our online and/or mobile services, web site, and software provided on or in connection with the service (collectively the “Service”). By accessing or using the Service, you signify that you have read, understood, and agree to be bound by this Terms of Use Agreement (“Agreement”) and to the collection and use of your information as set forth in the Company Privacy Policy, whether or not you are a registered user of our Service. Company reserves the right to make unilateral modifications to these terms and will provide notice of these changes as described below. This Agreement applies to all visitors, users, and others who access the Service (“Users”).
PLEASE READ THIS AGREEMENT CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION. THIS AGREEMENT CONTAINS A MANDATORY INDIVIDUAL ARBITRATION AND CLASS ACTION/JURY TRIAL WAIVER PROVISION THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.
Use of Our Service
Company provides an online platform that connects “providers” (“deliverers,” “workers”) who are willing to do pick-ups, with “receivers” (“customers”, “requesters”) who would like to get something delivered, accessible at www.UniHop.app (point of contention, specify later) (the “Site”) and as an application for mobile devices (the “Application”). Providers and Receivers together are referred to as “Users” (or “Clientele,” “clients”, “Hoppers”).
UniHop also recognizes its Users as the corresponding nickname to their attending university; for instance, University of Miami Users may be referred to as “Canes” or as “Hurricanes.” Similarly, University of Florida Users may be referred to as “Gators,” and so on and so forth according to traditionally used University nicknames or mascots.
THE SITE AND APPLICATION COMPRISE AN ONLINE PLATFORM THROUGH WHICH INDIVIDUALS GOING THROUGH A BUSINESS (“PROVIDERS”) ANNOUNCE THEIR INTENTION AND INDIVIDUALS (“RECEIVERS”) WANTING SOMETHING FROM THAT BUSINESS MAY LEARN ABOUT AND SUBMIT REQUESTS DIRECTLY WITH THE PROVIDER. YOU UNDERSTAND THAT UNIHOP IS NOT A PARTY TO ANY AGREEMENTS ENTERED INTO BETWEEN PROVIDERS AND RECEIVERS, NOR IS UNIHOP A DELIVERY SERVICE, AND HAS NO RESPONSIBILITY OR LIABILITY FOR ANY SERVICES PROVIDED TO YOU THROUGH OUR SITE OR APPLICATIONS. UNIHOP DOES NOT EMPLOY ANY PROVIDERS AND DOES NOT SUPERVISE OR DIRECT PROVIDERS. UNIHOP, AS THE PLATFORM PROVIDER, IS
ABSOLVED FROM ANY MALFEASANCE ASSOCIATED WITH TRANSACTIONS BETWEEN PROVIDERS AND RECEIVERS.
Provider & Receiver Screening
UniHop, LLC DOES NOT CONDUCT SCREENING OR BACKGROUND CHECKS ON ANY USER FOR THE PURPOSES OF ALLOWING THEM TO USE OUR APPLICATIONS OR SERVICES. ALL INTERACTIONS BETWEEN USERS ARE AT THE USER’S RISK. UniHop, LLC RESERVES THE RIGHT TO DENY OR APPROVE ANY INDIVIDUAL FOR PARTICIPATION ON ITS PLATFORM BY ITS OWN DISCRETION.
UniHop, LLC does not conduct any background checks or screening processes either before a User can register for our Services or during use of our Services or after use of our Services. We do not investigate or verify any User’s reputation, conduct, morality, criminal background, or any information Users may submit to us.
Notwithstanding the above, UniHop, LLC reserves the right to begin conducting such checks and screening of Users at any time as it deems appropriate in its sole discretion, including but not limited to verification of identities, criminal background checks (at the Country, State and local level as we deem necessary or appropriate), non-criminal background checks (financial information, credit data, bank statements). UniHop, LLC also reserves all rights to use such third party services to run such checks and processes as we deem appropriate in our sole discretion. By registering and using the Services or the Applications, each User consents to UniHop conducting any screening processes and/or background checks that UniHop, LLC deems advisable and as often as UniHop deems necessary and as may be required for compliance with federal and state laws and the Fair Credit Reporting Act, by its own discretion.
If UniHop, LLC decides to conduct such background checks or screening processes on its Users in the future, UniHop, LLC’s performance of the checks shall not be taken as confirmation that any User is who they claim to be. UniHop has no responsibility for the accuracy or reliability of the identity or background check information or any information regarding a User provided through our Services or Applications.
Any screening process is not a substitute for your good judgment when interacting with other Users. At all times during the use of our Services and Applications exercise caution and use your common sense. Remember that you may not know a User personally and always should take care while working with another User. The User is the role responsible party for their interaction with a corresponding User, the Company does not take responsibility for direct User relationships.
Restrictions on Package Contents
A Receiver must not request an item, and no Provider may knowingly deliver an item that contains (1) any “UniHop Prohibited Item” as listed below, whether consented to by a Provider or not. It is all providers’ and Receivers’ duty and obligation to know and comply with all applicable federal and state laws in the pick-up and delivery locations and all applicable laws relating to the contents, including without limitation those laws prohibiting the transportation or shipment of items, restricting the amounts of items that can be shipped, and age restrictions. UniHop, LLC has no liability or responsibility if a Provider or Receiver fails to comply with all applicable laws.
UniHop Prohibited Items
All Receivers are prohibited from requesting, and all providers are prohibited from knowingly accepting or picking-up, carrying, listing on UniHop for sale, selling or delivering the following:
Cigarettes or any tobacco product, wine, beer or any other alcoholic beverages or any other product regulated and controlled by the United States Alcohol and Tobacco Tax and Trade Bureau (TTB); Firearms or weapons of any kind, any firearm or weapon parts, or ammunition in any amount;
Any “Hazardous Material” as defined by the U.S. Department of Transportation (DOT) and codified in Title 49 Code of Federal Regulations (49 CFR), not including those Hazardous Materials in small or excepted quantities as defined in 49 CFR;
Any animal
Any counterfeit, inauthentic or fake items.
Any prescription or over the counter medicine that has not been paid for and is being delivered to a person other than the purchaser or the prescription holder;
Any item(s) prohibited to have in possession by the institution of which the service or order occurs. Provider Agreement
The Parcel services for the packages makes receiving, delivery and necessary processing of desired items mandatory for certain items sent through UniHop.app. These Parcel Service Terms and Conditions (“Terms”) apply to the Parcel services for Sneakers and Eligible Items, and set out the terms on which UniHop offers you access to and use of the Parcel services for Sneakers and other goods.
- Applicability of UniHop User Agreement.
The UniHop.app Terms of Service, UniHop’s User Privacy Policy, and all policies posted on our sites (collectively, and as the same may be amended from time to time, “UniHop’s Policies”) apply in addition to these Terms. In the event of a conflict or inconsistency between these Terms and UniHop’s Policies, these Terms will control as to all matters that they explicitly address. For all matters not explicitly addressed by these Terms, UniHop’s Policies will control.
- Description of the Parcel Service.
After the order for a Parcel service on UniHop.app, A UniHop team member will reach out after your order is placed to discuss information not limited to pickup/delivery times, pickup/delivery address and other additional details. Customers may have the opportunity to purchase shipping labels from UniHop (pricing may vary on carrier offerings and other factors) prior to shipping their packages. Package(s) being sent from a fulfillment center, other business location or without a UniHop generated label require the customer to share applicable information about the package(s) prior to arrival of the package(s) at the UniHop facility. If package(s) is received at a UniHop facility, and there is no order(s) for Parcel services, the package(s) UniHop may attempt to reach out to the customer to place a Parcel service, and instead, the package(s) will be returned to the sender.
After package(s) are received by UniHop, a UniHop team member will reach out to customer using the contact information provided by the customer on the order, or the contact information on the customer’s account to share with the customer the status of the package(s) and an update on where and when the package will be delivered. UniHop reserves the right to deny customer requested delivery times and locations to stay in compliance with local and private ordinance and regulations. Delivery times are not guaranteed, and may be delayed due to high-volume of orders, safety concerns, or other reasons at UniHop’s sole discretion.
All packages are to be delivered directly to the person who the package(s) was/were intended to be delivered to as instructed by the service-request order. Receivers of the package(s) are required to show identification to prove that they are the valid receivers of the package(s), unless otherwise requested in the service-request order. If a package is requested to be left without an attendant, UniHop assumes no responsibility for theft or damage to these/this package(s). Packages that are not requested for delivery, accepted by a customer, or stored with UniHop with prior confirmation of the arrangement, after 15 businesses days, are forfeit to UniHop, and a refund may be issued for the order.
If package(s) does/do not arrive at the UniHop facility or are not labeled with appropriate information as communicated on the website, by a UniHop team member or mail carrier, UniHop cannot process the package through the normal processing style. A UniHop team member will attempt to resolve the problem, a refund may be issued.
For parcel shipped by UniHop, UniHop is not responsible for the contents inside the parcel during transportation, nor delivery via a third-party service. Items that require additional protection or labeling must be identified to a UniHop team member prior to pick up, and all contents must be within the guidelines set forth by the local and state regulations, as well as federal law regarding to the transportation of items and parcels. Customers violating any of these guidelines are fully responsible for the penalties and costs associated with each violation.
- Parcel Delivery and Pickup Service Fees.
The Services are subject to a specified fee as shown on the service page; however, UniHop reserves the right to institute, alter or amend fees or costs associated with the Services at any time, at UniHop’s sole discretion.
- Party Roles
- Your Role as User.
By using Package services on the UniHop platform, you acknowledge and agree to your packages and other parcel received from the carrier, transported, photographed, recorded, and opened and inspected if the Terms of Service or other factors are believed to create an event where UniHop needs to do so.
- Data Privacy.
UniHop’s collection of personal information in connection with Parcel services is governed by the User Privacy Notice that applies to your use of the UniHop.app website. In order for the service to be provided the order information, including, but not limited to: your name, address, email address, telephone number, may be used.
- Lost, Damaged, or Items Not Delivered.
Items that are lost or damaged during Parcel service processes or during shipping and handling from the carrier are not protected by UniHop, but UniHop will take necessary steps to resolving the problem if applicable.
- Service Updates and Discontinuation.
UniHop has the right, but not the obligation, to alter, amend, replace, suspend temporarily, and/or discontinue permanently, Parcel services, the name of Parcel services, any of the Services provided, features, and/or functionality offered under Parcel service, and/or the service providers used to provide any or all of the Services under Parcel services, at any time, in its sole discretion, with or without notice to you.
- Amendment.
UniHop may amend these Terms, including applicable fees, at any time by posting the amended terms on the UniHop site. Except as stated elsewhere, all amended terms shall take effect immediately and automatically when posted on the UniHop site.
The Local Shopping + Grocery Delivery service for receiving delivery of goods and other items purchased by UniHop, or picked-up by UniHop. These applicable Terms and Conditions (“Terms”) apply to the Local Shopping + Grocery Delivery service for delivery of such goods, and set out the terms on which UniHop offers you access to and use of the service for delivery of such goods.
- Applicability of UniHop User Agreement.
The UniHop.app Terms of Service, UniHop’s User Privacy Policy, and all policies posted on our sites (collectively, and as the same may be amended from time to time, “UniHop’s Policies”) apply in addition to these Terms. In the event of a conflict or inconsistency between these Terms and UniHop’s Policies, these Terms will control as to all matters that they explicitly address. For all matters not explicitly addressed by these Terms, UniHop’s Policies will control.
- Description of the Local Shopping + Grocery Delivery service.
Customers may choose from a list of stores on the UniHop website to receive delivery from using UniHop delivery network. Items may be purchased directly in the store, or purchased using an alternative ordering method allowing for the reception and delivery of such goods. UniHop will sometimes use third-party delivery providers, and all applicable company Terms of Service apply to orders using third-party delivery providers.
For the cost of goods and other items, UniHop may charge the customer a price that differs from what the store may advertise, the MSRP, online price, or other price listed or advertised in another place. UniHop follows a pricing procedure that is consistent with the subtotal cost plus tax of purchased goods and other items, but may differ from what UniHop pays for such items. Store discounts may not be eligible for use on orders purchased through UniHop, and in situations where the codes are eligible, the customer must provide the code at the time of placing the order with UniHop. A receipt may not be able to be provided to customers purchasing items through UniHop, and in the circumstances where a return is requested for an item, UniHop may refuse to provide the customer with a receipt, and UniHop is not responsible for reimbursing customers for products that are damaged, unwanted, do not match the description from a store, or for any other reason. UniHop may refund customers if a product is damaged in transit, or by a UniHop team member. If item(s) are eligible for return, the customer is responsible for following the policies from the store of which the item(s) was/were purchased from, and the delivery fee is not refundable in most cases. Customers can opt for UniHop's returns service, but may incur an additional fee.
Delivery times for Local Shopping + Grocery Delivery service may be given, but are subject to change from the estimated and communicated delivery time. UniHop will not refund customers if an order is delayed, or delivered at a time that differs from the communicated, estimated time, but may choose to refund a customer if an order is canceled. - Local Shopping + Grocery Delivery service Fees.

UniHop’s collection of personal information in connection with the Local Shopping + Grocery Delivery service is governed by the User Privacy Notice that applies to your use of the UniHop.app website. In order for the service to be provided the order information, including, but not limited to: your name, address, email address, telephone number, may be used.
- Lost, Damaged, or Items Not Delivered.
Items that are lost or damaged during the Local Shopping + Grocery Delivery service process or during transportation and handling from the carrier are not protected by UniHop, but UniHop will take necessary steps to resolving the problem if applicable.
- Service Updates and Discontinuation.
UniHop has the right, but not the obligation, to alter, amend, replace, suspend temporarily, and/or discontinue permanently, the Local Shopping + Grocery Delivery service, the name of Local Shopping + Grocery Delivery service, any of the Services provided, features, and/or functionality offered under Local Shopping + Grocery Delivery service, and/or the service providers used to provide any or all of the Services under Local Shopping + Grocery Delivery service, at any time, in its sole discretion, with or without notice to you.
- Amendment.
UniHop may amend these Terms, including applicable fees, at any time by posting the amended terms on the UniHop site. Except as stated elsewhere, all amended terms shall take effect immediately and automatically when posted on the UniHop site.
1. Description of UniHop Local Business Delivery
UniHop Local Business Delivery is a service that provides delivery management services for small-businesses. UniHop works with 3rd party providers (more information continued in the section titled 3rd Party Service & Product Fulfillment) to deliver items on behalf of the businesses UniHop works with. UniHop utilizes externally developed technologies to track deliveries, monitor deliveries and create deliveries. UniHop works with 3rd parties to receive updates on the delivery status of orders, request claim payments and resolve varying issues related to a delivery. Please refer to the commonly asked questions page, found on the delivery request portal, or reach out to UniHop for further questions relating to UniHop Local Business Delivery.
2. Party Roles
- Your Role as User.
By using Local Business Delivery, you acknowledge and agree to engage with the services provided by UniHop and understand the terms and operations of the service and lawfully comply with any local and federal regulations relating to the production and fulfillment of the products you are selling.
- Data Privacy.
UniHop’s collection of personal information in connection with the UniHop Local Business Delivery service is governed by the User Privacy Notice that applies to your use of the UniHop.app website. In order for the service to be provided the order information, including, but not limited to: your name, address, email address, telephone number, may be used.
- Lost, Damaged, or Items Not Delivered.
Items that are lost or damaged during the Local Business Delivery service process or during transportation and handling from the courier are not protected by UniHop, but UniHop will take necessary steps to resolving the problem if applicable. Damage claims must be filed with UniHop in a timely manner, within the timeline and guidelines of the courier that fulfilled the delivery.
- Service Updates and Discontinuation.
UniHop has the right, but not the obligation, to alter, amend, replace, suspend temporarily, and/or discontinue permanently, the Local Business Delivery service, the name of Local Business Delivery service, any of the Services provided, features, and/or functionality offered under Local Business Delivery service, and/or the service providers used to provide any or all of the Services under Local Business Delivery service, at any time, in its sole discretion, with or without notice to you.
- Amendment.
UniHop may amend these Terms, including applicable fees, at any time by posting the amended terms on the UniHop site. Except as stated elsewhere, all amended terms shall take effect immediately and automatically when posted on the UniHop site.
6. Payment for Service
UniHop works with Stripe to handle payment processing for Local Business Delivery. All business accounts must have a payment-type on file in order for the account to remain in good standing. UniHop requires ACH (automated clearinghouse) to be used as the payment-type and may allow for other payment methods to be used on a case-by-case basis; additional fees my apply for alternative payment-types. UniHop manually charges for deliveries on monthly basis and follows the terms and regulations provided by Stripe and federal regulations. All fees associated with Local Business Delivery are communicated on the delivery request portal and for any further clarification on pricing or billing, please reach out to UniHop directly.
3rd Party Service & Product Fulfillment
For products purchased through one of the following, but not limited to UniHop fulfillment services, UniHop delivery services or 3rd party service delivery (laundry, dry cleaning, etc.), UniHop is not responsible for any lost of damaged items, when the items are not within UniHop's direct possession. All claims for lost or damaged products are the responsibility of the 3rd party, and should be followed up with the 3rd party provider. UniHop will provide all necessary information requested by the 3rd party that is in UniHop's possession and up to the digression of UniHop, and UniHop may also assist in filing any applicable claims. Improper use of UniHop services or product fulfillment is the sole responsibility of the user, and UniHop holds no liability for the offender, and UniHop may press charges or seek damages for applicable malice.
About UniHop Cash
We issue UniHop Cash to you. It allows you to load a dollar value onto your UniHop account for use on the UniHop website, or for good and other items purchased through a UniHop service including, but not limited to food, household goods and retail merchandise. The dollar value that you load onto your UniHop Cash is a prepayment for the goods and services of UniHop transactions. We offer UniHop Cash to make it easier for you to shop with us and to make your relationship with us more rewarding. Unless otherwise required by law or permitted by this Agreement, the dollar value on your UniHop Cash card is nonrefundable and may not be redeemed for cash. The value on your UniHop Cash is not insured by the Federal Deposit Insurance Corporation (FDIC), nor does it earn interest.
UniHop cash is not targeted towards, nor intended for use by, anyone under the age of 13. If you are between the ages of 13 and 18, you may only use UniHop Cash under the supervision of a parent or legal guardian who agrees to be bound by this Agreement.
Loading Value on Your Card
In the United States, you can load value on your UniHop Cash card by going online or contacting UniHop directly. There may be a delay from the time you pay the amount to be loaded onto your UniHop Cash card and those funds being available for use.
You may not have more than $500 in value on any of UniHop Cash at any time, and no more than $2,000 may be associated with any one UniHop Cash card in a single day. This means that the activity on any one of your UniHop Cash card cannot exceed $2,000 over the course of a day. The total value you may load onto all of your UniHop Cash card, together with the value of any new UniHop Cash Card that you may purchase, may not exceed $10,000 on any given day. There is a minimum amount that you may load on any UniHop Cash card at any given time, and that amount is typically $25. We may change any of these amounts at any time without notice to you.
If you use a credit or debit card to purchase or reload your UniHop cash, prior to charging your credit or debit card, an authorization process will occur for the amount of your purchase or reload transaction ("Transaction"). The authorization process will validate the credit or debit card number, status, available credit or funds and billing information to ensure that it matches what the bank or card company has on file. Your bank or UniHop may attempt to contact you for additional information prior to authorizing the Transaction amount.
For credit cards, once an authorization is received, you may notice a decrease in your available credit line. Your bank may hold this dollar amount from your credit line or available balance for a short period of time determined by the policy of your bank before your Transaction is fulfilled. For debit cards, your bank may pre-authorize a charge to your deposit or checking account and place a temporary hold on the funds before your Transaction is fulfilled. Regardless of whether you use a credit or debit card, your card will be charged only upon fulfillment of your Transaction. If your Transaction is cancelled, UniHop will request an authorization reversal on your behalf. Reversal times may vary. We recommend contacting your bank or credit card company to learn about their authorization and authorization reversal policies.
Sending UniHop Cash
UniHop Cash (also known as an "eGift") program allows you to purchase and send a virtual UniHop Cash via email, or via certain social media and messaging platforms. You may choose the design and dollar value (within certain limits) and complete your purchase using a credit card, debit card, or certain other electronic payment methods. You may choose when to have your eGift delivered the same day, provided that your form of payment is approved. You authorize us to charge your credit card, debit card or other chosen electronic payment method at the time you purchase your eGift regardless of the date you choose for delivery.
On the requested delivery date, we will send the recipient of your eGift an email notifying them that they have received an eGift from you. The recipient will have the option of adding the eGift to their UniHop account, transferring the balance onto an existing UniHop Cash card or printing out the eGift and using it on a UniHop transaction. An eGift is like any other UniHop Cash card and should be treated like cash by the recipient.
Each eGift has a unique UniHop Cash card number associated with it no matter how many times the email is printed out. We will only give refunds for unused eGifts with the original receipt. Payment processing fees may not be refundable.
Promotional Programs
From time to time, we may in our sole discretion, run promotional programs associated with the UniHop Cash card program ("Promotions"). Such Promotions are subject to these terms, as well as additional terms as indicated in connection with the Promotions. We reserve the right to modify the terms and conditions of any Promotion at any time, including and up to terminating the Promotion. UniHop Cash given to customers as a promotion, cash-back incentive, or any other circumstance that does not involve a direct purchase of UniHop Cash cannot be refunded not redeemed for a cash.
Fees and Expiration of Card Balances
We do not charge any activation, service, dormancy or inactivity fees in connection with your UniHop Cash card. Your UniHop Cash card has no expiration date nor does the value on your UniHop Cash card ever expire.
Receipts and Transaction History
When you use your UniHop Cash card we will provide a receipt if you request one. The receipt will indicate that the purchase was made using a UniHop Cash card and will provide the remaining balance of your UniHop Cash card. Please check your online Transaction history regularly to ensure that your Transaction history and account balance are correct.
Billing Errors, Corrections
We will correct the balance of your UniHop Cash card if we believe that a clerical, billing, or accounting error occurred. If you have questions regarding your Transaction history or any correction, or if you wish to dispute any Transaction or correction that has been applied to your UniHop Cash card, please contact UniHop at contact@unihop.app Assuming you provide sufficient details, we will review your claim and tell you what we find. We will correct any error promptly after we finish our review. If we do not find any error, we will explain what we found. We have no obligation to review or correct any billing error unless you provide us sufficient notice for us to review your claim within sixty (60) days of the date of the Transaction in question.
Fraud Associated with Your UniHop Card or Card Balance
We will not accept any UniHop Cash card, or will limit use of any UniHop Cash card or UniHop Cash balance, if we reasonably believe that the use is unauthorized, fraudulent or otherwise unlawful, and we consider such action appropriate to limit our risk. If UniHop discovers any UniHop Cash card or UniHop Cash balance was sourced or derived from fraud or other unlawful means, we may in our sole discretion, cancel all impacted UniHop Cash cards and retain all related UniHop Cash balances without notice to you. We may use retained UniHop Cash balances to help offset our liability to card companies, networks and issuers of lost or stolen credit and debit cards used to purchase or load UniHop Cash cards.
Liability for Unauthorized Transactions
You should treat your UniHop Cash card like cash and not disclose your UniHop Cash information to anyone. If your UniHop Cash or UniHop Cash information is lost or stolen, anyone who obtains possession of either may use your card. You are responsible for all transactions on your UniHop Cash card, including unauthorized transactions.
About UniHop Rewards
UniHop Rewards is an incentive program that offers various rewards such as, but not limited to UniHop Cash, free items, and free services. Rewards are guaranteed upon completion of the advertised thresholds and a review to monitor for any cheating or attempt to take advantage of a technical error. UniHop rewards can only be used for UniHop advertised services, unless otherwise mentioned on advertisements or on a UniHop affiliated website.
Motorized Vehicle Policy:
UniHop LLC does not broker, nor oversee, nor cover tasks that explicitly require a motorized vehicle (whether electric or non-electric) for its completion.
UniHop Is Not Responsible for Performance of Providers or Receivers:
Our Site and Applications enable connections between our Users; however, UniHop, LLC is not responsible for the performance, actions or inactions of any User, whether identified through our Services, our Applications, in public, private, or offline interactions, or otherwise. You acknowledge and agree that UniHop, LLC does not have control over, and has no liability or responsibility for, the quality, timing, legality, suitability, reliability, timeliness, or accuracy of any User, or the failure of any User to provide the services requested or payment required therefore, nor for the integrity, responsibility or any of the actions or omissions whatsoever of any Users.
NEITHER UNIHOP, LLC NOR ITS AFFILIATES OR LICENSORS IS RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF OUR SERVICES OR APPLICATIONS AND UNIHOP, LLC AND ITS AFFILIATES AND LICENSORS ARE NOT BE
LIABLE FOR ANY LOSS, CLAIM, INJURY OR DAMAGE ARISING IN CONNECTION WITH YOUR USE OF THE SERVICES OR THE APPLICATIONS. BY USING THE SERVICES OR APPLICATIONS YOU THEREBY RELEASE UNIHOP, LLC AND ITS AFFILIATES OR LICENSORS FROM ANY LIABILITY RELATED TO ANY USE OF OUR SERVICES, APPLICATIONS OR THE CONDUCT OR MISCONDUCT OF A USER.
- Eligibility
This is a contract between you and the Company. You must read and agree to these terms before using the Company Service. If you do not agree, you may not use the Service. You may use the Service only if you can form a binding contract with the Company, and only in compliance with this Agreement and all applicable local, state, national, and international laws, rules and regulations. Any use or access to the Service by anyone under 13 is strictly prohibited and in violation of this Agreement. The Service is not available to any Users previously removed from the Service by the Company.
- Company Service
Subject to the terms and conditions of this Agreement, you are hereby granted a non-exclusive, limited, non-transferable, freely revocable license to use the Service as permitted by the features of the Service. Company reserves all rights not expressly granted herein in the Service and the Company Content (as defined below). Company may terminate this license at any time for any reason or no reason.
- Company Accounts
Your Company account gives you access to the services and functionality that we may establish and maintain from time to time and at our sole discretion. By connecting to the Company with a third-party service, you give us permission to access and use your information from that service as permitted by that service, and to store your log-in credentials for that service.
You may never use another User’s account without permission. When creating your account, you must provide accurate and complete information, and you must keep this information up to date. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. We encourage you to use “strong” passwords (passwords that use a combination of upper and lower case letters, numbers and symbols) with your account. You must notify the Company immediately of any breach of security or unauthorized use of your account. Company will not be liable for any losses caused by any unauthorized use of your account. The Company is not responsible for any voluntarily-given information from the User nor claims responsibility over the loss or breach of data that was stored within, or associated with, the User’s account.
You may control your User profile and how you interact with the Service by changing the settings in your profile page. By providing the Company your email address you consent to our using the email address to send you Service-related notices, including any notices required by law, in lieu of communication by postal mail. We may also use your email address to send you other messages, such as changes to features
of the Service and special offers. If you do not want to receive such email messages, you may opt out of them. Opting out may prevent you from receiving email messages regarding updates, improvements, or offers.
- Service Rules
You agree not to engage in any of the following prohibited activities: (i) copying, distributing, or disclosing any part of the Service in any medium, including without limitation by any automated or non-automated “scraping”; (ii) using any automated system, including without limitation “robots,” “spiders,” “offline readers,” etc., to access the Service in a manner that sends more request messages to the Company servers than a human can reasonably produce in the same period of time by using a conventional on-line web browser (except that Company grants the operators of public search engines revocable permission to use spiders to copy publically available materials from UniHop.app or the UniHop application(s) for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials); (iii)
transmitting spam, chain letters, or other unsolicited email; (iv) attempting to interfere with, compromise the system integrity or security or decipher any transmissions to or from the servers running the Service;
(v) taking any action that imposes, or may impose at our sole discretion an unreasonable or disproportionately large load on our infrastructure; (vi) uploading invalid data, viruses, worms, or other software agents through the Service; (vii) collecting or harvesting any personally identifiable information, including account names, from the Service; (viii) using the Service for any commercial solicitation purposes; (ix) impersonating another person or otherwise misrepresenting your affiliation with a person or entity, conducting fraud, hiding or attempting to hide your identity; (x) interfering with the proper working of the Service; (xi) accessing any content on the Service through any technology or means other than those provided or authorized by the Service; or (xii) bypassing the measures we may use to prevent or restrict access to the Service, including without limitation features that prevent or restrict use or copying of any content or enforce limitations on use of the Service or the content therein.
We may, without prior notice, change the Service; stop providing the Service or features of the Service, to you or to Users generally; or create usage limits for the Service. We may permanently or temporarily terminate or suspend your access to the Service without notice and liability for any reason, including if in our sole determination you violate any provision of this Agreement, or for no reason. Upon termination for any reason or no reason, you continue to be bound by this Agreement.
You are solely responsible for your interactions with other Company Users. We have no obligation to monitor or resolve disputes between you and other Users. Company shall have no liability for your interactions with other Users, or for any User’s action or inaction.
- User Content
Some areas of the Service allow Users to post or provide content such as profile information, images, comments, questions, and other content or information (any such materials a User submits, posts, displays, or otherwise makes available on the Service is referred to as “User Content”). We claim no ownership rights over User Content created by you. The User Content you create remains yours; however,
by providing or sharing User Content through the Service, you agree to allow others to view, edit, and/or share your User Content in accordance with your settings and this Agreement. Company has the right (but not the obligation) in its sole discretion to remove any User Content that is shared via the Service by its own discretion.
You agree not to post User Content that: (i) may create a risk of harm, loss, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to you, to any other person, or to any animal; (ii) may create a risk of any other loss or damage to any person or property; (iii) seeks to harm or exploit children by exposing them to inappropriate content, asking for personally identifiable details or otherwise; (iv) may constitute or contribute to a crime or tort; (v) contains any information or content that we deem to be unlawful, harmful, abusive, racially or ethnically offensive, defamatory, infringing, invasive of personal privacy or publicity rights, harassing, humiliating to other people (publicly or otherwise), libelous, threatening, profane, obscene, or otherwise objectionable; (vi) contains any information or content that is illegal (including, without limitation, the disclosure of insider information under securities law or of another party’s trade secrets); (vii) contains any information or content that you do not have a right to make available under any law or under contractual or fiduciary relationships; or (viii) contains any information or content that you know is not correct and current. You agree that any User Content that you post does not and will not violate third-party rights of any kind, including without limitation any Intellectual Property Rights (as defined below) or rights of privacy. To the extent that your User Content contains music, you hereby represent that you are the owner of all the copyright rights, including without limitation the performance, mechanical, and sound recordings rights, with respect to each and every musical composition (including lyrics) and sound recording contained in such User Content and have the power to grant the license granted below. Company reserves the right, but is not obligated, to reject and/or remove any User Content that Company believes, in its sole discretion, violates any of these provisions. You understand that publishing your User Content on the Service is not a substitute for registering it with the U.S. Copyright Office, the Writer’s Guild of America, or any other rights organization.
For the purposes of this Agreement, “Intellectual Property Rights” means all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights and other intellectual property rights as may now exist or hereafter come into existence, and all applications therefore and registrations, renewals and extensions thereof, under the laws of any state, country, territory or other jurisdiction.
In connection with your User Content, you affirm, represent and warrant the following:
- You have the written consent of each and every identifiable natural person in the User Content, if any, to use such person’s name or likeness in the manner contemplated by the Service and this Agreement, and each such person has released you from any liability that may arise in relation to such use.
- You have obtained and are solely responsible for obtaining all consents as may be required by law to post any User Content relating to third parties.
- Your User Content and Company’s use thereof as contemplated by this Agreement and the Service will not violate any law or infringe any rights of any third party, including but not limited to any Intellectual Property Rights and privacy rights.
- Company may exercise the rights to your User Content granted under this Agreement without liability for payment of any guild fees, residuals, payments, fees, or royalties payable under any collective bargaining agreement or otherwise.
Company takes no responsibility and assumes no liability for any User Content that you or any other User or third party posts, sends, or otherwise makes available over the Service. You shall be solely responsible for your User Content and the consequences of posting, publishing it, sharing it, or otherwise making it available on the Service, and you agree that we are only acting as a passive conduit for your online distribution and publication of your User Content. You understand and agree that you may be exposed to User Content that is inaccurate, objectionable, inappropriate for children, or otherwise unsuited to your purpose, and you agree that Company shall not be liable for any damages you allege to incur as a result of or relating to any User Content.
- Listing Conditions
When listing an item for sale on our Services, you agree to comply with UniHop's Listing policies and Selling practices policy and also agree that:
You assume full responsibility for the item offered and the accuracy and content of the listing,
Your listing may not be immediately searchable by keyword or category for several hours (or up to 24 hours in some circumstances). UniHop can't guarantee exact listing duration,
Your fixed-price listings may renew automatically every calendar month, based on the listing terms at the time, until all quantities sell or the listing is ended by you or UniHop, in its sole discretion,
The content you provide complies with all of our listing policies, including the Images and text policy, Content that violates any of UniHop's policies may be modified, obfuscated or deleted at UniHop's sole discretion,
We may revise product data associated with listings to supplement, remove, or correct information,
We strive to create a marketplace where buyers find what they are looking for. Therefore, the appearance or placement of listings in search and browse results will depend on a variety of factors, including, but not limited to:
buyer's location, search query, browsing site, and history;
item's location, listing format, price and shipping cost, terms of service, end time, history, and relevance to the user query;
seller's history, including listing practices, Detailed Seller Ratings, UniHop policy compliance, Feedback, and defect rate; and
number of listings matching the buyer's query,
To drive a positive user experience, a listing may not appear in some search and browse results regardless of the sort order chosen by the buyer,
Some advanced listing upgrades will only be visible on some of our Services,
UniHop's Duplicate listings Policy may also affect whether your listing appears in search results,
Metatags and URL links that are included in a listing may be removed or altered so as to not affect third- party search engine results,
We may provide you with optional recommendations to consider when creating your listings. Such recommendations may be based on the aggregated sales and performance history of similar sold and current listings; results may vary for individual listings. To drive the recommendations experience, you agree that we may display the sales and performance history of your individual listings to other sellers,
For items listed in certain categories, subject to certain programs, and/or offered or sold at certain price
Mobile Software to any third party or use the Mobile Software to provide time sharing or similar services for any third party; (iii) make any copies of the Mobile Software; (iv) remove, circumvent, disable, damage or otherwise interfere with security-related features of the Mobile Software, features that prevent or restrict use or copying of any content accessible through the Mobile Software, or features that enforce limitations on use of the Mobile Software; or (v) delete the copyright and other proprietary rights notices on the Mobile Software. You acknowledge that the Company may from time to time issue upgraded versions of the Mobile Software, and may automatically electronically upgrade the version of the Mobile Software that you are using on your mobile device. You consent to such automatic upgrading on your mobile device, and agree that the terms and conditions of this Agreement will apply to all such upgrades. Any third-party code that may be incorporated in the Mobile Software is covered by the applicable open source or third-party license EULA, if any, authorizing use of such code. The foregoing license grant is not a sale of the Mobile Software or any copy thereof, and Company or its third-party partners or suppliers retain all right, title, and interest in the Mobile Software (and any copy thereof). Any attempt by you to transfer any of the rights, duties or obligations hereunder, except as expressly provided for in this Agreement, is void. Company reserves all rights not expressly granted under this Agreement. If the Mobile Software is being acquired on behalf of the United States Government, then the following provision applies. The Mobile Software will be deemed to be “commercial computer software” and “commercial computer software documentation,” respectively, pursuant to DFAR Section 227.7202 and FAR Section 12.212, as applicable. Any use, reproduction, release, performance, display or disclosure of the Service and any accompanying documentation by the U.S. Government will be governed solely by these Terms of Service and is prohibited except to the extent expressly permitted by these Terms of Service. The Mobile Software originates in the United States, and is subject to United States export laws and regulations. The Mobile Software may not be exported or re-exported to certain countries or those persons or entities prohibited from receiving exports from the United States. In addition, the Mobile Software may be subject to the import and export laws of other countries. You agree to comply with all United States and foreign laws related to use of the Mobile Software and the Company Service.
- Mobile Software from iTunes. The following applies to any Mobile Software you acquire from the iTunes Store (“iTunes-Sourced Software”): You acknowledge and agree that this Agreement is solely between you and Company, not Apple, and that Apple has no responsibility for the iTunes-Sourced Software or content thereof. Your use of the iTunes-Sourced Software must comply with the App Store Terms of Service. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the iTunes-Sourced Software. In the event of any failure of the iTunes-Sourced Software to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the iTunes-Sourced Software to you; to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the
iTunes-Sourced Software, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be solely governed by this Agreement and any law applicable to Company as provider of the software. You acknowledge that Apple is not responsible for addressing any claims of you or any third party relating to the iTunes-Sourced Software or your possession and/or use of the iTunes-Sourced Software, including, but not limited to: (i) product liability claims; (ii) any claim that the iTunes-Sourced Software fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation; and all such claims are governed solely by this Agreement and any law applicable to Company as provider of the
software. You acknowledge that, in the event of any third-party claim that the iTunes-Sourced Software or your possession and use of that iTunes-Sourced Software infringes that third party’s intellectual property rights, Company, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim to the extent required by this Agreement.
You and Company acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of this Agreement as relates to your license of the iTunes-Sourced Software, and that, upon your acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement as relates to your license of the
iTunes-Sourced Software against you as a third-party beneficiary thereof.
When listing an item for sale on UniHop, you agree to comply with UniHop's listing policies and selling practices policy and also agree that:
- You assume full responsibility for the item offered and the accuracy and content of the listing,
- Your listing may not be immediately searchable by keyword or category for several hours (or up to 24 hours in some circumstances). UniHop can not guarantee exact listing duration,
- The content you provide complies with all of our listing policies, including the Images and text policy,
- Content that violates any of UniHop's policies may be modified, obfuscated or deleted at UniHop's sole discretion,
- We may revise product data associated with listings to supplement, remove, or correct information,
- Metatags and URL links that are included in a listing may be removed or altered so as to not affect third-party search engine results,
- We may provide you with optional recommendations to consider when creating your listings. Such recommendations may be based on the aggregated sales and performance history of similar sold and current listings; results may vary for individual listings. To drive the recommendations experience, you agree that we may display the sales and performance history of your individual listings to other sellers,
- You will not sell and will promptly remove all listings for any product recalled by a manufacturer or governmental agency if the sale of the product is prohibited by law or regulation or the product poses a health or safety hazard as specified by any governmental agency. UniHop has no responsibility or liability for the safety or performance of any product that you list or sell through the Services, including any product that is subject to a recall. You are solely responsible for any non-conformity or defect in, or compliance with any public or private recall of any product you list or sell through the Services.
When buying an item on our Services, you agree to the rules and policies for buyers and that:
- You are responsible for reading the full item listing before committing to buy,
- You enter into a legally binding contract to purchase an item when you commit to buy an item.
- We do not transfer legal ownership of items from the seller to you,
- We do not facilitate, nor guarantee returns on any purchase. All returns must be dealt with the seller directly, and UniHop has no obligation to protect you in any manner, but may intervene under UniHop’s disgression.
- Utah Code Annotated § 70A-2-401(2) and Uniform Commercial Code § 2-401(2) apply to the transfer of ownership between the buyer and the seller, unless the buyer and the seller agree otherwise.
If we believe you are abusing UniHop and/or our services in any way, we may, in our sole discretion and without limiting other remedies, limit, suspend, or terminate your user account(s) and access to our services, delay or remove hosted content, remove any special status associated with your account(s), remove, not display, and/or demote listings, reduce or eliminate any discounts, and take technical and/or legal steps to prevent you from using our Services.
If we believe you are violating our policies prohibiting offers to buy or sell outside of UniHop, you may be subject to a range of actions, including limits on your buying and selling privileges, restrictions on listings and account features, suspension of your account, application of fees, and recovery of expenses for policy monitoring and enforcement. If you are a seller and you offer or reference your contact information or ask a buyer for their contact information in the context of buying or selling outside of UniHop, you may be liable to pay a service fee applicable to that item, even if the item does not sell.
We may cancel unconfirmed accounts or accounts that have been inactive for a substantial period of time. Additionally, we reserve the right to refuse, modify, or terminate all or part of our Services to anyone for any reason at our discretion.
Offering to buy or sell outside of UniHop is not allowed (explained in below paragraph). Buyers and sellers also can't share contact information, including email addresses and phone numbers, prior to completing a transaction on UniHop.
Contacting another UniHop member to discuss moving a purchase off UniHop exposes both the buyer and seller to the risk of fraud. It also means both buyer and seller are not covered by our protection programs.
Buyers and sellers can’t:
- Engage in any action with a user on the site designed to complete or facilitate a transaction outside of UniHop
- In any communications with another UniHop member, refer to or promote external websites that facilitate sales outside of UniHop
- Use contact information obtained through an UniHop transaction to offer to buy or sell an item outside of UniHop
- List an item and then mention or link to additional identical or related items for sale outside of UniHop
- Offer catalogs or other items that are used to order items directly outside of UniHop
- Host item descriptions or images outside of UniHop
Buyers and sellers should:
- Complete purchases on UniHop in order to be covered by UniHop’s goal to aid in safe transactions. Confirmation of a completed transaction on UniHop can be obtained by:
- Using the UniHop checkout to complete the purchase
- Viewing the purchase in purchase or sales history
Activity that doesn't follow UniHop policy could result in a range of actions including canceling listings, hiding or demoting all listings from search results, blocking some or all of your messages/communication with other members, lowering seller rating, buying or selling restrictions, account suspension, application of fees, and recovery of expenses for policy monitoring and enforcement. All fees paid or payable in relation to listings or accounts on which we take any action will not be refunded or otherwise credited to your account.
- Our Proprietary Rights
Except for your User Content, the Service and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music, and User Content belonging to other Users (the “Company Content”), and all Intellectual Property Rights related thereto, are the exclusive property of Company and its licensors (including other Users who post User Content to the Service). Except as explicitly provided herein, nothing in this Agreement shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any Company Content. Use of the Company Content for any purpose not expressly permitted by this Agreement is strictly prohibited.
You may choose to or we may invite you to submit comments or ideas about the Service, including without limitation about how to improve the Service or our products (“Ideas”). By submitting any Idea, you agree that your disclosure is gratuitous, unsolicited and without restriction and will not place Company under any fiduciary or other obligation, and that we are free to use the Idea without any additional compensation to you, and/or to disclose the Idea on a non-confidential basis or otherwise to anyone. You further acknowledge that, by acceptance of your submission, Company does not waive any rights to use similar or related ideas previously known to Company, or developed by its employees, or obtained from sources other than you.
- Company Property
The Service contains data, information, and other content not owned by you, such as reputational or status indicators, in-world currency, and/or fictional property representing virtual achievements (for instance, trophies or powers) (“Company Property”). You understand and agree that regardless of terminology used, Company Property represents a limited license right governed solely by the terms of this Agreement and available for distribution at Company’s sole discretion. Company Property is not redeemable for any sum of money or monetary value from Company at any time. You acknowledge that you do not own the account you use to access the Service, nor do you possess any rights of access or rights to data stored by or on behalf of Company on Company servers, including without limitation any data representing or embodying any or all of your Company Property. You agree that Company has the absolute right to manage, regulate, control, modify and/or eliminate Company Property as it sees fit in its sole discretion,
in any general or specific case, and that Company will have no liability to you based on its exercise of such right. All data on Company’s servers are subject to deletion, alteration or transfer.
NOTWITHSTANDING ANY VALUE ATTRIBUTED TO SUCH DATA BY YOU OR ANY THIRD PARTY, YOU UNDERSTAND AND AGREE THAT ANY DATA, ACCOUNT HISTORY AND ACCOUNT CONTENT RESIDING ON COMPANY’S SERVERS, MAY BE DELETED, ALTERED, MOVED OR TRANSFERRED AT ANY TIME FOR ANY REASON IN COMPANY’S SOLE DISCRETION, WITH OR WITHOUT NOTICE AND WITH NO LIABILITY OF ANY KIND. COMPANY DOES NOT PROVIDE OR GUARANTEE, AND EXPRESSLY DISCLAIMS, ANY VALUE, CASH OR OTHERWISE, ATTRIBUTED TO ANY DATA RESIDING ON COMPANY’S SERVERS.
- Paid Services
- No Refunds. You may cancel your Company account at any time; however, there are no refunds for In the event that Company suspends or terminates your account or this Agreement, you understand and agree that you shall receive no refund or exchange for any Company Property, any content or data associated with your account, or for anything else.
- Risk of Loss. All products that may be purchased from or via the Service are transported and delivered to you by other Users not affiliated with, or controlled by, the Company. Title to products purchased on the Service, as well as the risk of loss for such products, passes to you when the Company passes the information to the other User.
- Payment Information; Taxes. All information that you provide in connection with a purchase or transaction or other monetary transaction interaction with the Service must be accurate, complete, and You agree to pay all charges incurred by users of your credit card, debit card, or other payment method used in connection with a purchase or transaction or other monetary transaction interaction with the Service at the prices in effect when such charges are incurred (this includes services such as “PayPal”, “Apple Pay,” “Google Pay”, etc.). You will pay any applicable taxes, if any, relating to any such purchases, transactions or other monetary transaction interactions.
- Unless otherwise agreed by the parties in writing, Company shall remit payments due to you hereunder no later than thirty (30) days after you request it. Payment shall be in the form you select when you register for the Service, or as subsequently updated as permitted by the Service. Company reserves the right to withhold payment or charge back to your account any amounts otherwise due to us under this Agreement, or amounts due to any breach of this Agreement by you, pending the Company’s reasonable investigation of such breach. Company also reserves the right to withhold payment or charge back to your account any amounts subject to dispute, such as in the case of credit card charge backs, pending successful resolution of the dispute. To ensure proper payment, you are solely responsible for providing and maintaining accurate contact and payment information associated with your account, which includes without limitation applicable tax information. If we believe that we are obligated to obtain tax information and you do not provide this information to us after we have requested it, we may withhold your payments until you provide this information or otherwise satisfy us that you are not a person or entity from whom we are required to obtain tax information. Any third-party fees related to returned or cancelled payments due to a contact or payment information error or omission may be deducted from the newly issued payment. You agree to pay all applicable taxes or charges imposed by any government entity in connection with your participation in the Service. If you dispute any payment made hereunder, you
must notify Company in writing within thirty (30) days of such payment or from when you purport such payment would have been due, whichever is earlier. Failure to notify Company shall result in the waiver by you of any claim relating to such disputed payment. Payment shall be calculated solely based on records maintained by the Company. No other measurements or statistics of any kind shall be accepted by the Company or have any effect under this Agreement and you shall have no audit rights hereunder. We may withhold any taxes or other amounts from payments due to you as required by law.
- Florida Residents. The provider of services is: UniHop, LLC, 12354 SW 75th Street, Miami, FL If you are a California resident, in accordance with Cal. Civ. Code §1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112 Sacramento, CA 95834, or by telephone at (800) 952-5210 or (916) 445-1254.
- Text Messaging

However, we cannot guarantee that unauthorized third parties will never be able to defeat our security measures or use your personal information for improper purposes. You acknowledge that you provide your personal information at your own risk.
- Third-Party Links and Information
The Service may contain links to third-party materials that are not owned or controlled by the Company. The Company does not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access a third-party website or service from the Service or share your User Content on or through any third-party website or service, you do so at your own risk, and you understand that this Agreement and Company’s Privacy Policy do not apply to your use of such sites. You expressly relieve Company from any and all liability arising from your use of any third-party website, service, or content, including without limitation User Content submitted by other Users. Additionally, your dealings with or participation in promotions of advertisers found on the Service, including payment and delivery of goods, and any other terms (such as warranties) are solely between you and such advertisers. You agree that Company shall not be responsible for any loss or damage of any sort relating to your dealings with such advertisers.
- Indemnity
You agree to defend, indemnify and hold harmless Company and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Service, including any data or content transmitted or received by you; (ii) your violation of any term of this Agreement, including without limitation your breach of any of the representations and warranties above;
(iii) your violation of any third-party right, including without limitation any right of privacy or Intellectual Property Rights; (iv) your violation of any applicable law, rule or regulation; (v) User Content or any content that is submitted via your account including without limitation misleading, false, or inaccurate information; (vi) your willful misconduct; or (vii) any other party’s access and use of the Service with your unique username, password or other appropriate security code.
- No Warranty
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. USE OF THE SERVICE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM COMPANY OR THROUGH THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN. WITHOUT LIMITING THE FOREGOING, COMPANY, ITS SUBSIDIARIES, ITS AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT THE CONTENT IS ACCURATE, RELIABLE OR CORRECT; THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; THAT THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED OR SECURE; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DOWNLOADED AT YOUR OWN RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM SUCH DOWNLOAD OR YOUR USE OF THE SERVICE.

- Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COMPANY, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THIS SERVICE. UNDER NO CIRCUMSTANCES WILL COMPANY BE RESPONSIBLE FOR ANY DAMAGE, LOSS OR INJURY RESULTING FROM HACKING, TAMPERING OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPANY ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF OUR SERVICE; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE BY ANY THIRD PARTY; (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICE; AND/OR (VII) USER CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY. IN NO EVENT SHALL COMPANY, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN AMOUNT EXCEEDING THE AMOUNT YOU PAID TO COMPANY HEREUNDER OR $100.00, WHICHEVER IS GREATER.
THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.
SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. THIS AGREEMENT GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE. THE DISCLAIMERS,
EXCLUSIONS, AND LIMITATIONS OF LIABILITY UNDER THIS AGREEMENT WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.
The Service is controlled and operated from facilities in the United States. Company makes no representations that the Service is appropriate or available for use in other locations. Those who access or use the Service from other jurisdictions do so at their own volition and are entirely responsible for compliance with all applicable United States and local laws and regulations, including but not limited to export and import regulations. You may not use the Service if you are a resident of a country embargoed by the United States, or are a foreign person or entity blocked or denied by the United States government. Unless otherwise explicitly stated, all materials found on the Service are solely directed to individuals, companies, or other entities located in the United States.
- Governing Law
You agree that: (i) the Service shall be deemed solely based in Florida; and (ii) the Service shall be deemed a passive one that does not give rise to personal jurisdiction over us, either specific or general, in jurisdictions other than Florida. This Agreement shall be governed by the internal substantive laws of the State of Florida, without respect to its conflict of laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. You agree to submit to the personal jurisdiction of the federal and state courts located in Miami-Dade County, Florida for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a our copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights, as set forth in the Arbitration provision below, including any provisional relief required to prevent irreparable harm. You agree that Miami-Dade County, Florida is the proper forum for any appeals of an arbitration award or for trial court proceedings in the event that the arbitration provision below is found to be unenforceable.
- Dispute Resolution – Arbitration Agreement
- Binding Arbitration. YOU AND COMPANY MUTUALLY AGREE TO WAIVE YOUR RESPECTIVE RIGHTS TO RESOLUTION OF ALL CLAIMS BETWEEN YOU (EXCEPT THOSE EXPRESSLY EXCLUDED BELOW) IN A COURT OF LAW BY A JUDGE OR JURY AND AGREE TO RESOLVE ANY DISPUTES BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS AS SET FORTH
This agreement to arbitrate (“Arbitration Agreement”) is governed by the Federal Arbitration Act and survives the termination of this Agreement. “Claims” include, but are not limited to, any dispute, claim or controversy whether based on past, present or future events arising out of or relating to: this Agreement (including the breach, termination, enforcement, interpretation or validity thereof), the Service, your relationship with Company or the end of that relationship, payments made or allegedly owed to you, and all local, state and federal statutory, contract and common law claims to the fullest extent permitted by law. All disputes concerning the arbitrability of a Claim shall be decided by the arbitrator, except as expressly provided below.
- Class Action Waiver. You and Company agree that any arbitration will be limited to the Claims between you and Company individually. You acknowledge and agree that you and Company are each waiving the right to participate as a plaintiff or class member in any purported class action, collective action or representative action proceeding (“Class Action Waiver”). Notwithstanding the foregoing, this Class Action Waiver shall not apply to Florida Private Attorney General Act Claims brought against Company to the extent a Class Action Waiver is not legally enforceable as to those claims. Further, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of any class or representative proceeding. The arbitrator shall have no authority to consider or resolve any Claim or issue any relief on any basis other than an individual basis.
Notwithstanding any other provision of this Agreement, the Arbitration Agreement or the JAMS rules, disputes regarding the scope, applicability, enforceability or validity of the Class Action Waiver may be resolved only by a civil court of competent jurisdiction and not by an arbitrator. In any case in which: (1) the Claim is filed as a class, collective, or representative action and (2) there is a final judicial determination that the Class Action Waiver is unenforceable as to any Claims, the class, collective, and/or representative action on such Claims must be litigated in a civil court of competent jurisdiction, but the Class Action Waiver shall be enforced in arbitration on an individual basis as to all other Claims to the fullest extent possible.
- Rules and Logistics Governing Arbitration. The arbitration will be conducted by a single JAMS arbitrator under the JAMS streamlined arbitration rules and procedures, as modified by this Arbitration Agreement -- https://www.jamsadr.com/rules-streamlined-arbitration/. Notwithstanding the foregoing, if requested by either party and if proper based on the facts and circumstances of the Claims presented and consistent with the parties’ Arbitration Agreement, the arbitrator shall have the discretion to select a different set of JAMS Rules. The arbitration will be held in a JAMS location nearest to where you provided Your Services, or another mutually agreeable
As part of the arbitration, both you and Company will have the opportunity for reasonable discovery of non-privileged information that is relevant to the Claim(s). The arbitrator may award any individualized remedies that would be available in court. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual Claims. The arbitrator will provide a reasoned written statement of the arbitrator’s decision, which shall explain the award given and the findings and conclusions on which the decision is based.
The arbitrator will decide the substance of all Claims in accordance with applicable law, and will honor all claims of privilege recognized by law. Claims will be governed by their applicable statutes of limitations. The arbitrator shall not be bound by rulings in prior arbitrations involving different Contractors, but is bound by rulings in prior arbitrations involving the same Contractor to the extent required by applicable law. The arbitrator’s award shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof, provided that any award may be challenged in a court of competent jurisdiction in accordance with the Federal Arbitration
Act. The parties’ responsibilities for arbitration fees and arbitrator compensation will be governed by the applicable JAMS Rules.
- Exceptions to Arbitration
The following types of Claims are not required to be arbitrated under the Arbitration Agreement: Claims for workers’ compensation, disability insurance and unemployment insurance benefits; small claims actions that are within the scope of small claims court jurisdiction and brought on an individual basis; a PAGA representative action to the extent such Claims are not subject to arbitration as a matter of law; and any other Claims that are not be subject to arbitration as a matter of law. Either Party may also seek injunctive relief in court to protect its confidential and proprietary information.
Nothing in this Arbitration Agreement prevents you from making a report to or filing a claim or charge with a local, state or federal agency, and nothing in this Arbitration Agreement shall be deemed to preclude or excuse a Party from bringing an administrative claim before any agency in order to fulfill the party's obligation to exhaust administrative remedies before making a claim in arbitration. However you knowingly and voluntarily waive the right to seek or recover money damages of any type pursuant to any administrative complaint and instead may seek such relief only through arbitration under this Agreement. This Agreement and Arbitration Agreement do not prevent you from participating in an investigation by a government agency of any report, claim or charge otherwise covered by this Arbitration Agreement and do not prevent you from receiving an award for information provided to any government agencies.
- Severability
In the event that any portion of this Arbitration Agreement is deemed illegal or unenforceable, such provision shall be severed and the remainder of the Arbitration Agreement shall be given full force and effect.
- Right to Opt Out of Arbitration Agreement
You may opt out of the Arbitration Agreement by notifying Company in writing within thirty (30) days of the date you accept this Agreement (the “Deadline”). To opt out, you must send a written notification postmarked no later than the Deadline to UniHop LLC, 12354 SW 75th Street, Miami, FL 33183 that includes (i) your name, (ii) your address, (iii) your telephone number, (iv) your email address, and (v) a clear statement that you are choosing to opt out of the Arbitration Agreement.
- General
- This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by the Company without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.
- Notification Procedures and Changes to the Agreement. Companies may provide notifications, whether such notifications are required by law or are for marketing or other business related purposes, to you via email notice, written or hard copy notice, or through posting of such notice on our website, as determined by the Company in our sole discretion. Company reserves the right to determine the form and means of providing notifications to our Users, provided that you may opt out of certain means of notification as described in this Agreement. Company is not responsible for any automatic filtering you or your network provider may apply to email notifications we send to the email address you provide us. Company may, in its sole discretion, modify or update this Agreement from time to time, and so you should review this page periodically. When we change the Agreement in a material manner, we will update the ‘last modified’ date at the bottom of this page. Your continued use of the Service after any such change constitutes your acceptance of the new Terms of Use. If you do not agree to any of these terms or any future Terms of Use, do not use or access (or continue to access) the Service.
- Entire Agreement/Severability. This Agreement, together with any amendments and any additional agreements you may enter into with Company in connection with the Service, shall constitute the entire agreement between you and Company concerning the Service. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and
- No Waiver. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Company’s failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
